Business and Deal Review

An independent review of a company and a deal before the money moves: what you are buying, what you are risking and what it truly costs. Fixed scope, fixed timeline, and a report you can negotiate with.

What's included

01

Express check

Who owns it, whether the licence is alive, litigation, sanctions and reputational traces. Public and licensed sources. An answer within days — before you spend weeks negotiating.

02

Full pre-acquisition review

Corporate structure, licences and permits, contracts, staff and visas, tax standing, liabilities and hidden debt. Every finding carries a risk grade and a price tag.

03

Contract and trade readiness

We review the commercial terms of the deal: payment and delivery. A legal assessment of the contract is given by a lawyer.

04

A report you can negotiate with

Not a list of observations but a risk map with a cost against each and what to demand from the seller: price reduction, warranties, holdback, debt transfer.

05

After the deal

The first hundred days: clearing what was found, moving the company onto proper bookkeeping and compliance, keeping the counterparty under watch.

How it works

  1. 1

    Framing

What the deal is, what you want from it, where your concerns sit. We choose the depth — from express to full.

  2. 2

    Gathering and request

Public and licensed sources plus a document request to the seller. Neutral in tone, so it does not derail the negotiation.

  3. 3

    Review and risk grading

Every finding receives a risk grade and a cost. Anything contested is verified against the primary source, not a retelling.

  4. 4

    Report and walkthrough

A report with firm conclusions and a live walkthrough: what to do about each risk and what to negotiate.

What it costs

We scope the work around your task and name the amount in the invoice before the work starts: what we quote is what you pay, with no add-ons along the way.

Request an invoice

Independent business review. Not an audit within the meaning of Russian Federal Law No. 307-FZ «On Auditing Activity» or of the UAE law regulating the accounting and auditing profession; no assurance is expressed. An audit opinion can only be issued by an audit firm or an individual auditor on the register.

Services on the territory of Russia are provided by IE Korosteleva N.: consultations, solution design, preparation and review of documents, support. Actions in the UAE — filings with authorities, obtaining the licence and visas, opening the account, keeping the books — are performed under a separate contract and paid separately.

Questions and answers

How is your review different from an audit?

It is an independent business review (due diligence), not an audit within the meaning of the UAE law on the accounting and auditing profession — no assurance is expressed. What it does answer is the buyer's question: what you are buying, what you risk and what it is really worth. An audit opinion can only be issued by a licensed auditor.

How long does a review take?

Snapshot — 48 hours: whether the conversation is worth having at all. Express check before a deposit — 3–4 days. Full due diligence — 2–3 weeks. The deadline is fixed at order.

What exactly do you check?

The real owner and the licence, debts and litigation, the lease and landlord consent, obligations to staff. Every figure in the report carries a source and a date.

When should I order a review?

Before paying any deposit. A 48-hour Snapshot filters out hopeless options at a fraction of the cost of a mistake; the full review is for when the deal is seriously on the table.
